1. Agreement to These Terms

By accessing or using SynthReplay, creating an account, purchasing a plan, or enabling auto-renewal, you agree to these Terms and to any policies referenced on this site, including the Privacy Policy. If you do not agree, do not use the service.

2. What SynthReplay Is

SynthReplay is charting and backtesting software. It allows users to review historical market-style data, replay candles, test ideas, and analyze trading behavior. SynthReplay is software only. We do not execute trades, hold client funds, provide brokerage services, or manage investments.

3. No Affiliation With Deriv

SynthReplay is an independent product and is not affiliated with, endorsed by, sponsored by, or operated by Deriv or any of its affiliates. References to Deriv, synthetic indices, or similar instruments are descriptive only. All third-party names, trademarks, and platform rights remain the property of their respective owners.

4. No Financial, Investment, or Legal Advice

All content, features, statistics, indicators, and outputs are provided for software, educational, and informational purposes only. Nothing on SynthReplay is financial advice, investment advice, legal advice, tax advice, brokerage advice, or a recommendation to place any trade. You are solely responsible for your own decisions, risk management, and compliance obligations.

5. User Eligibility and Responsibilities

• You must provide accurate account and billing information.
• You are responsible for keeping your login credentials secure.
• You are responsible for ensuring your use of SynthReplay complies with local law, your broker's or platform provider's rules, and any third-party terms that apply to you.
• You must not misuse the platform, interfere with the service, scrape protected content, reverse engineer restricted components, or attempt unauthorized access.

6. Historical Data and Performance Disclaimer

Backtesting results, indicators, analytics, and simulated trade outcomes are hypothetical. Past or simulated performance does not guarantee future results. Data may contain errors, omissions, delays, gaps, or formatting differences. You agree not to rely on SynthReplay as your sole source of truth for live trading decisions.

7. Subscriptions and Access

Some features require a paid subscription. Access is granted for the plan duration shown at checkout. Unless required by law, subscription fees are charged in advance and are generally non-refundable after the applicable refund window stated on the website.

8. Auto-Renewal Terms

• Auto-renewal is optional, not mandatory.
• Auto-renewal is only available when a user checks the auto-renew option and completes checkout with a supported card payment method that provides a reusable token through Flutterwave.
• Bank transfer and USSD payments are one-time payments and do not create automatic recurring billing.
• When auto-renewal is enabled, you authorize us and our payment processor to charge your saved payment token for the applicable renewal price before or at the end of the current subscription period, unless you cancel first.
• You can cancel auto-renewal from your account profile before the renewal is processed. Cancelling auto-renewal stops future renewal charges but does not cancel the current paid period.

9. Payment Processing

Payments are processed by third-party providers, including Flutterwave. We do not store full card numbers. Payment availability, settlement time, fraud checks, transfer rails, bank-transfer instructions, and processor failures are controlled by the payment provider and your financial institution.

10. Refunds and Chargebacks

If your website advertises a refund window, requests made inside that window will be reviewed under that policy. Fraudulent chargebacks, abusive refund requests, or use of the platform after receiving a refund may result in account suspension or termination.

11. Service Availability

We may modify, suspend, or discontinue features at any time. We do not guarantee uninterrupted uptime, error-free operation, or permanent availability of any symbol, dataset, indicator, region, or payment method.

12. Intellectual Property

The SynthReplay software, branding, layout, copy, charts, and platform content are owned by us or licensed to us, except for third-party marks and materials owned by their respective holders. You may not copy, resell, sublicense, or commercially exploit the service except as expressly allowed in writing.

13. Termination

We may suspend or terminate access if you breach these Terms, misuse the platform, create legal or security risk, or use the service in a way that could expose us or our providers to fraud, abuse, or regulatory issues.

14. Limitation of Liability

To the maximum extent permitted by law, SynthReplay and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost trading opportunities, lost data, business interruption, or losses arising from trading decisions, third-party platform actions, payment processor issues, or your inability to use the service. If liability is imposed despite this limitation, our total liability will not exceed the amount you paid to us for the service in the three months preceding the event giving rise to the claim.

15. Indemnity

You agree to defend, indemnify, and hold harmless SynthReplay and its operators from claims, damages, liabilities, costs, and expenses arising out of your misuse of the service, your breach of these Terms, your violation of law, or your violation of any third-party rights or platform rules.

16. Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted on this page unless a different effective date is stated. Continued use of the service after an update means you accept the revised Terms.
